Terms of Service

1. Scope and Acceptance

These Terms govern your use of apllex.com and your engagement of Apllex services, including software engineering, web development, mobile app development, AI/LLM integrations, cloud/DevOps, and related consulting.

By using our website or engaging our services, you agree to these Terms and applicable law. If you do not agree, please do not use our website or services.

2. Service Engagement

Project-specific scope, pricing, timelines, and deliverables are defined in a signed proposal, statement of work (SOW), or service agreement. If there is a conflict, the signed commercial agreement controls for that project.

  • Discovery estimates are directional unless explicitly marked as fixed-price.
  • Client feedback and approvals are required to keep schedule commitments.
  • Scope changes may impact fees and timelines and are handled through change requests.

3. Fees, Billing, and Taxes

  • Invoices are due per payment terms in your agreement (unless otherwise stated, net 7 days).
  • Late payments may pause work and handover until outstanding balances are settled.
  • Client is responsible for applicable taxes, duties, or regulatory fees.
  • Third-party costs (cloud, API, domains, app stores, SaaS tools) are billed separately unless included.

4. Client Responsibilities

  • Provide accurate business, technical, legal, and compliance requirements.
  • Maintain legal rights to content, data, assets, and credentials supplied to Apllex.
  • Provide timely decisions, approvals, and access to environments and stakeholders.
  • Use deliverables in compliance with law and platform/provider terms.

5. Intellectual Property

Upon full payment of applicable project fees, ownership of custom deliverables developed specifically for you is assigned to you, except for:

  • Pre-existing Apllex tools, accelerators, templates, and know-how.
  • Open-source software and third-party components, each subject to their own licenses.
  • Generic methods and non-client-specific learnings used to improve service delivery.

6. Confidentiality and Security

Both parties will protect confidential information and use it only for the project. We apply reasonable technical and organizational safeguards, but no system can guarantee absolute security. If needed, a separate NDA or data processing addendum can be executed.

7. Warranties and Disclaimers

We warrant services will be provided in a professional and workmanlike manner. Except as expressly stated in a signed agreement, services and website content are provided “as is” without implied warranties, including fitness for a particular purpose or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Apllex is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, revenue, or goodwill. Total aggregate liability is limited to fees paid to Apllex for the affected services during the 3 months preceding the claim, unless a signed agreement states otherwise.

9. Termination

Either party may terminate for material breach not cured within a reasonable written notice period. Client remains responsible for payment of services performed and approved third-party costs incurred up to termination date.

10. Website Use Restrictions

  • Do not misuse, scrape, attack, or disrupt the website or connected systems.
  • Do not use our website for unlawful, fraudulent, or abusive activity.
  • Do not reproduce our branded materials without written permission.

11. Governing Law

These Terms are governed by applicable laws of Pakistan, unless otherwise agreed in writing in a client contract. Parties will first attempt good-faith resolution before formal proceedings.
